FRUTANA\u00ae\ufe0f \u2013 Commercial Terms & Policies<\/h3>\n\n

All commercial activities, transactions, and services provided by FRUTANA\u00ae\ufe0f are governed by the following policies. By requesting a Proforma Invoice, confirming an order, or making a payment, THE CLIENT acknowledges and fully accepts these terms.<\/p>\n\n

\n\n

1. Proforma Invoice<\/h4>\nAll transactions are governed by the Proforma Invoice issued by FRUTANA\u00ae\ufe0f. It constitutes a legally binding agreement once confirmed by THE CLIENT through email, message, or payment. In case of discrepancy, the Proforma Invoice shall prevail.\n\n
\n\n

2. Payment Conditions<\/h4>\nAll payment terms are strictly defined in the Proforma Invoice. No production, booking, shipment, or document release shall be executed without confirmed payment. Proof of payment is not valid until funds are credited to FRUTANA\u00ae\ufe0f\u2019s bank account.\n\n
\n\n

3. Shipping & Risk<\/h4>\nAll shipments are governed by Incoterms and FRUTANA\u00ae\ufe0f Shipping Policy. FRUTANA\u00ae\ufe0f\u2019s responsibility ends once the cargo is loaded on board at the port of origin. All risks, delays, and costs thereafter are transferred to THE CLIENT.\n\n
\n\n

4. Claims & Quality<\/h4>\nAll claims are governed exclusively by the FRUTANA\u00ae\ufe0f Quality Claims Policy. Failure to comply with procedures, timelines, or evidence requirements will result in automatic rejection. No claim is valid if payment obligations are not fulfilled.\n\n
\n\n

5. Commercial Control<\/h4>\nFRUTANA\u00ae\ufe0f reserves the right to evaluate clients based on payment behavior and operational risk. Based on such evaluation, FRUTANA\u00ae\ufe0f may modify payment terms or suspend operations without prior notice.\n\n
\n\n

6. Operational Principle<\/h4>\n

No Payment \u2192 No Production \u2192 No Shipment \u2192 No Documents \u2192 No Responsibility.<\/p>\n\n

\n\n

7. Limitation of Liability<\/h4>\nFRUTANA\u00ae\ufe0f shall not be liable for any indirect, incidental, or commercial damages, including loss of profit. Liability shall be limited strictly to the value of the goods supplied.\n\n
\n\n

8. Confidentiality<\/h4>\nAll commercial information, prices, shipment details, and documents are strictly confidential. Unauthorized disclosure constitutes a material breach of contract.\n\n
\n\n

9. Legal Framework<\/h4>\nAll transactions shall be governed by the laws of the Republic of Ecuador. Any dispute shall be resolved exclusively by the courts of Guayaquil, Ecuador.\n\n
\n\n
