Clause 1 \u2013 Commercial Terms, Pricing & Payment<\/h3>\n\n
\n\n

Scope of Supply<\/h4>\nFRUTANA\u00ae\ufe0f agrees to sell and supply, and THE CLIENT agrees to purchase, agricultural export products including but not limited to bananas, pineapples, mangoes, and any additional items included in FRUTANA\u00ae\ufe0f\u2019s export program.\n\n
\n\n

Proforma Invoice and Specifications<\/h4>\nEach shipment shall be defined in the corresponding Proforma Invoice, which forms an integral and binding part of this Agreement. The Proforma Invoice shall specify quantity, number of containers, brand, box type, ports, shipping line, Incoterm, and price.\n\n
\n\n

Pricing and Market Volatility<\/h4>\nPrices are valid for a limited period as specified. FRUTANA\u00ae\ufe0f reserves the right to adjust prices at the time of loading due to fresh produce market nature. Any increase in market price shall be borne by THE CLIENT.\n\n
\n\n

Payment Compliance<\/h4>\nNo production, booking, shipment, or allocation shall be executed without full compliance with the agreed payment terms. Proof of payment (SWIFT\/confirmation) is only valid once funds are credited to FRUTANA\u00ae\ufe0f\u2019s bank account.\n\n
\n\n

Ownership and Rights<\/h4>\nOwnership remains with FRUTANA\u00ae\ufe0f until full payment is received. FRUTANA\u00ae\ufe0f reserves the right to withhold documents, redirect cargo, or resell goods in case of payment failure or delay.\n\n
\n\n

Additional Costs and Penalties<\/h4>\nAll costs resulting from THE CLIENT\u2019s actions or delays shall be borne by THE CLIENT, including but not limited to:\n

  • Demurrage and Storage<\/li>\n \t
  • Detention and Booking cancellation<\/li>\n \t
  • Operational and logistics costs<\/li>\n<\/ul>\n\n
    \n\n

    Clause 2 \u2013 Shipment, Liability & Legal Framework<\/h3>\n\n
    \n\n

    Agreement Validity<\/h4>\nThis Agreement shall remain valid for 52 weeks and may be renewed upon written confirmation by both parties.\n\n
    \n\n

    Logistical Liability<\/h4>\nFRUTANA\u00ae\ufe0f shall not be responsible for delays caused by shipping lines, port operations, banking systems, or external logistical factors beyond its control.\n\n
    \n\n

    Resale and Abandonment<\/h4>\nIf THE CLIENT fails to receive or pay for cargo, FRUTANA\u00ae\ufe0f reserves the right to resell without notice. All losses and costs shall be charged to THE CLIENT. FRUTANA\u00ae\ufe0f is not responsible for cargo abandoned at destination.\n\n
    \n\n

    Destination Changes<\/h4>\nAny request to change destination after shipment shall result in all related costs being fully charged to THE CLIENT. These payments are considered non-refundable.\n\n
    \n\n
