Clause 1 \u2013 Confidentiality & Data Protection<\/h3>\n\n

Data Security and Disclosure<\/h4>\nAll commercial terms, prices, shipment details, documents, and communications related to this Agreement are strictly confidential. Any unauthorized disclosure by THE CLIENT shall constitute a material breach of contract and shall entitle FRUTANA\u00ae\ufe0f to immediately terminate the Agreement without liability. THE CLIENT shall be fully responsible for any damages resulting from such disclosure.\n\n
\n\n

Clause 2 \u2013 Force Majeure<\/h3>\n\n

External Events<\/h4>\nFRUTANA\u00ae\ufe0f shall not be held liable for any delay, failure, or non-performance resulting from events beyond its reasonable control, including but not limited to:\n
    \n \t
  • Strikes and political instability.<\/li>\n \t
  • War and natural disasters.<\/li>\n \t
  • Port closures, shipping disruptions, and carrier delays.<\/li>\n \t
  • Governmental actions or restrictions.<\/li>\n<\/ul>\nSuch events shall not be considered a breach of contract.\n\n
    \n\n

    Clause 3 \u2013 Governing Law & Jurisdiction<\/h3>\n\n

    Legal Jurisdiction<\/h4>\nThis Agreement shall be governed by and interpreted in accordance with the laws of the Republic of Ecuador. Any dispute arising out of or in connection with this Agreement shall be subject exclusively to the jurisdiction of the competent courts of Guayaquil, Ecuador<\/strong>.\n\n

    Clause 4 \u2013 Entire Agreement & Legal Validity<\/h3>\n\n

    Agreement Integrity<\/h4>\nThis Agreement, together with all Proforma Invoices, policies, and annexes issued by FRUTANA\u00ae\ufe0f, constitutes the entire and binding agreement between the parties. It supersedes any prior negotiations, communications, or agreements.
