Contract Price<\/strong><\/p><p data-start=\"178\" data-end=\"237\">Each shipment is governed by a Proforma Invoice specifying:<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Quantity<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Number of containers<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Brand<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Box type (22XU or 208)<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Port of loading \/ port of discharge<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Shipping line<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Incoterm (FOB or CIF)<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Price<\/p><p data-start=\"178\" data-end=\"237\">The Proforma becomes legally binding once confirmed by THE CLIENT.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-fb5e3fa elementor-widget elementor-widget-menu-anchor\" data-id=\"fb5e3fa\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"menu-anchor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-menu-anchor\" id=\"payment-terms\"><\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7b32c90 elementor-widget elementor-widget-text-editor\" data-id=\"7b32c90\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p data-start=\"178\" data-end=\"237\"><strong>SECTION II \u2013 PAYMENT TERMS<\/strong><\/p><p data-start=\"178\" data-end=\"237\"><strong>Clause 4 \u2013 LC Payment Option<\/strong><\/p><p data-start=\"178\" data-end=\"237\">Payment may be executed through an Irrevocable &amp; Confirmed Letter of Credit (LC) issued by a top-tier bank. FRUTANA\u00ae reserves the right to withdraw up to 30% of the LC value in advance to finance the operational cycle, including procurement, packing, and logistics.<\/p><p data-start=\"178\" data-end=\"237\">Clause 5 \u2013 Annual Contract Payment Scheme (80\/20)<\/p><p data-start=\"178\" data-end=\"237\">For annual agreements:<\/p><p data-start=\"178\" data-end=\"237\">\u2022 80% advance payment, before shipment.<\/p><p data-start=\"178\" data-end=\"237\">\u2022 20% upon cargo arrival at destination and before pickup.<\/p><p data-start=\"178\" data-end=\"237\">No cargo will be released until full payment is completed.<\/p><p data-start=\"178\" data-end=\"237\">Clause 6 \u2013 No Deductions \/ No Withholding<\/p><p data-start=\"178\" data-end=\"237\">THE CLIENT is strictly prohibited from:<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Applying deductions<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Delaying payments<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Withholding balances<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Imposing penalties or commercial pressure<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Making unilateral compensations<\/p><p data-start=\"178\" data-end=\"237\">Any unauthorized deduction automatically voids the claim and authorizes FRUTANA\u00ae to start legal and financial recovery procedures.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-709718b elementor-widget elementor-widget-menu-anchor\" data-id=\"709718b\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"menu-anchor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-menu-anchor\" id=\"shipping-logistics\"><\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-61d8d33 elementor-widget elementor-widget-text-editor\" data-id=\"61d8d33\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p data-start=\"178\" data-end=\"237\"><strong>SECTION III \u2013 SHIPPING &amp; LOGISTICS<\/strong><\/p><p data-start=\"178\" data-end=\"237\"><strong>Clause 7 \u2013 Shipping Terms (Incoterms)<\/strong><\/p><p data-start=\"178\" data-end=\"237\">Shipments may be carried under FOB or CIF terms. Any change of port, destination, or shipping line after confirmation must be paid by THE CLIENT.<\/p><p data-start=\"178\" data-end=\"237\"><strong>Clause 8 \u2013 Authorized Shipping Lines<\/strong><\/p><p data-start=\"178\" data-end=\"237\">FRUTANA\u00ae works exclusively with certified and internationally recognized shipping lines, such as: Maersk, MSC, CMA CGM, Hapag-Lloyd, ONE, Evergreen, Cosco, Wan Hai.<\/p><p data-start=\"178\" data-end=\"237\"><strong>Clause 9 \u2013 Cargo Pickup<\/strong><\/p><p data-start=\"178\" data-end=\"237\">THE CLIENT must pick up the cargo within official free-time.<\/p><p data-start=\"178\" data-end=\"237\">Delays caused by THE CLIENT automatically cancel any eligibility for claims or compensation.<\/p><p data-start=\"178\" data-end=\"237\"><strong>Clause 10 \u2013 Container Opening Rules<\/strong><\/p><p data-start=\"178\" data-end=\"237\">Containers must be opened exclusively in an authorized bonded warehouse. Opening the container in any unauthorized location automatically invalidates any claim.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-db93e03 elementor-widget elementor-widget-menu-anchor\" data-id=\"db93e03\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"menu-anchor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-menu-anchor\" id=\"quality-claims-replacement\"><\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-cb93b1d elementor-widget elementor-widget-text-editor\" data-id=\"cb93b1d\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p data-start=\"178\" data-end=\"237\"><strong>SECTION IV \u2013 QUALITY, CLAIMS &amp; REPLACEMENT<\/strong><\/p><p data-start=\"178\" data-end=\"237\"><strong>Clause 11 \u2013 Maximum Reporting Period<\/strong><\/p><p data-start=\"178\" data-end=\"237\">THE CLIENT has a maximum of three (3) calendar days from the moment they pick up the cargo to submit any claim. Claims submitted after this period are automatically rejected.<\/p><p data-start=\"178\" data-end=\"237\"><strong>Clause 12 \u2013 Accepted Claim Categories<\/strong><\/p><p data-start=\"178\" data-end=\"237\">Only two types of claims are accepted:<\/p><p data-start=\"178\" data-end=\"237\">A) Box Failure (Cardboard)<\/p><p data-start=\"178\" data-end=\"237\">Humidity, collapse, adhesive failure, printing defects, structural damage, crushing.<\/p><p data-start=\"178\" data-end=\"237\">B) Banana Damage<\/p><p data-start=\"178\" data-end=\"237\">Incorrect temperatures, severe bruising, abnormal rot, oxidized crown inconsistent with normal transit, or waste exceeding the industry tolerance of 3%\u20135%.<\/p><p data-start=\"178\" data-end=\"237\"><strong>Clause 13 \u2013 Mandatory Evidence (Required)<\/strong><\/p><p data-start=\"178\" data-end=\"237\">To activate a claim, THE CLIENT must provide:<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Photos of the container upon opening<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Photos &amp; videos of affected pallets<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Detailed photos of fruit or box damage<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Full video walkthrough of the container<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Photos of the seal and container number<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Copy of the Bill of Lading<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Copy of destination pickup documents<\/p><p data-start=\"178\" data-end=\"237\">Incomplete, manipulated, blurry, or inconsistent evidence results in automatic rejection.<\/p><p data-start=\"178\" data-end=\"237\"><strong>Clause 14 \u2013 Technical Review<\/strong><\/p><p data-start=\"178\" data-end=\"237\">FRUTANA\u00ae will perform a full technical evaluation, including:<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Reefer Data Log<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Temperature records from the shipping line<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Sensors &amp; alarm records<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Stowage and pre-cooling verification<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Farm, harvest, and packing date verification<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Destination handling analysis<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Comparison with 3\u20135% waste tolerance<\/p><p data-start=\"178\" data-end=\"237\">Replacement will only proceed if FRUTANA\u00ae is confirmed responsible.<\/p><p data-start=\"178\" data-end=\"237\"><strong>Clause 15 \u2013 Customer Recovery Options<\/strong><\/p><p data-start=\"178\" data-end=\"237\">If the claim is approved:<\/p><p data-start=\"178\" data-end=\"237\">1. Replacement in a future shipment (same brand, same box type), or<\/p><p data-start=\"178\" data-end=\"237\">2. Credit note for future purchases.<\/p><p data-start=\"178\" data-end=\"237\">Cash refunds are not provided under any circumstances.<\/p><p data-start=\"178\" data-end=\"237\">Replacement does not include:<\/p><p data-start=\"178\" data-end=\"237\">* Freight cost<\/p><p data-start=\"178\" data-end=\"237\">* Port charges<\/p><p data-start=\"178\" data-end=\"237\">* Customs fees<\/p><p data-start=\"178\" data-end=\"237\">* Destination logistics<\/p><p data-start=\"178\" data-end=\"237\"><strong>Clause 16 \u2013 Non-Eligible Claims<\/strong><\/p><p data-start=\"178\" data-end=\"237\">Claims are not accepted when:<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Submitted after 3 days<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Damage caused by mishandling<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Delayed pickup<\/p><p data-start=\"178\" data-end=\"237\">\u2022 The container was opened outside an authorized warehouse<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Customs or authority intervention occurred<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Temperature logs are normal<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Waste is within 3\u20135%<\/p><p data-start=\"178\" data-end=\"237\">\u2022 Evidence is incomplete or altered<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-4c69763 elementor-widget elementor-widget-menu-anchor\" data-id=\"4c69763\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"menu-anchor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-menu-anchor\" id=\"legal-clauses\"><\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-3bc6a99 elementor-widget elementor-widget-text-editor\" data-id=\"3bc6a99\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p data-start=\"178\" data-end=\"237\"><strong>SECTION V \u2013 LEGAL CLAUSES<\/strong><\/p><p data-start=\"178\" data-end=\"237\"><strong>Clause 17 \u2013 Confidentiality<\/strong><\/p><p data-start=\"178\" data-end=\"237\">All commercial terms, prices, and documents related to this contract are confidential.<\/p><p data-start=\"178\" data-end=\"237\">Unauthorized disclosure automatically voids the agreement.<\/p><p data-start=\"178\" data-end=\"237\"><strong>Clause 18 \u2013 Force Majeure<\/strong><\/p><p data-start=\"178\" data-end=\"237\">FRUTANA\u00ae is not liable for delays or failure caused by: strikes, war, natural disasters, port closures, political instability, or government intervention.<\/p><p data-start=\"178\" data-end=\"237\"><strong>Clause 19 \u2013 Governing Law &amp; Jurisdiction<\/strong><\/p><p data-start=\"178\" data-end=\"237\">This Agreement is governed by the laws of the Republic of Ecuador.
